China Metro-Rural Holdings Limited (“the Company”) incorporated under the laws of the British Virgin Islands with DCSX symbol CMRH informed the exchange on December 29, 2022, of the following notice: CMRH Change of Financial Year End Date

“The Board of Directors (the “Board”) of the Company resolved to change the financial year-end date of the Company from 31 March to 31 December with effect from 31 December 2021. Accordingly, the audited consolidated financial statements of the Group following the prior fiscal year-end date of 31 March 2021 will cover a period of nine months commencing on 1 April 2021 and ending on 31 December 2021, and the forthcoming financial year-end date of the Company will be 31 December 2022.

REASON FOR THE CHANGE
The change of the financial year-end date of the Company is to conform with the financial year-end dates of the majority of the entities within the Group. The majority of the entities that comprise the Group have their operations in the People’s Republic of China (the “PRC”). According to the relevant accounting laws in the PRC, these entities are required to adopt 31 December as their financial year-end date. The Board considers that the change of the financial year-end date will better facilitate the preparation of the consolidated financial statements of the Group. To
the best of its knowledge and belief, the Board does not foresee any material adverse impact on the Group resulting from the change of financial year-end date of the Company and there is no other significant matter that needs to be brought to the attention of the shareholder(s) of the Company in this regard.”
