China Metro-Rural Holdings Limited (DCSX symbol CMRH) incorporated under the laws of the British Virgin Islands with limited liability informed the exchange on March 18, 2025 of the following notice: MAJOR TRANSACTION IN RELATION TO THE DISPOSAL OF THE ENTIRE ISSUED SHARE CAPITAL OF C&K JEWELLERY LIMITED.

“China Metro-Rural Holdings Limited (the “Company”) is pleased to announce that New Jumbo Global Limited (“New Jumbo”) and Splendid Wealth Investments Limited (“Splendid Wealth”), the wholly owned subsidiaries of the Company, sold entire issued share capital of C&K Jewellery Limited (“C&K”) for an aggregate consideration of HK$18,000,000 (the “Disposal”) on February 17, 2025.

The consideration of the Disposal was satisfied by way of cash.”
