Jia Mei Young Sun Holdings Group Co. Ltd. (DCSX JMYS) & Waters Years Holding Group Limited (DCSX Symbol WSYS)  informed the exchange on December 22, 2022, of the following notice: Intended merger JMYS and WSYS 

” On behalf of the new management team, I am happy to announce the intended merger between JIA MEI YOUNG SUN HOLDINGS GROUP CO. LTD and WATERS YEARS HOLDING GROUP LIMITED, two limited liability companies incorporated under the laws of the British Virgin Islands, listed and trading on the Dutch Caribbean Securities Exchange (“DCSX”) in Curaçao, an independent country within the kingdom of The Netherlands. The merger will be conducted under our new strategy of which the prestigious project “World Meteorite City” forms part.

The Directors of the Companies are convinced that the merger is in the best interest of both companies and the shareholders of both companies already agreed to the merger, subject to successful conclusion of the necessary filings and formalities.

The merger will take place in the form of a share deal, based on the December 27, 2022, closing prices of the stock trading on the recognized international securities market operated by the DCSX.

Waters Years Holding Group Limited (DCSX symbol: WSYS) will merge into Jia Mei Young Sun Holdings Group Co. Ltd. After closing of the deal, all shares will trade under Jia Mei Young Sun Holdings Group Co. Ltd.’s ticker symbol “JMYS”.
